Keyword Proximity refers to the closeness between two or more keywords. It is better to have keywords placed closer in a sentence.

Keyword proximity represents the nearness between your keywords on the page. It is a mixture of the compactness of a keyword and its popularity.

Keyword prominence - this factor refers to the position of the keywords in the text. If you use your keywords in the beginning of the sentences, the keyword prominence is higher. Higher keyword prominence is better.

Keyword proximity defines how should you use keywords in writing content. Some time writers use keywords very close in writing online content and that appears as spamming. So experts suggest proper keywords proximity (i.e. Keywords on uniform distance) to make effective content.

If you have a content in your website, google will look about that content, and it will measure how that content is unique from your competitors website and the specific words which are related to your website. If the content is having good keyword combination and unique content then it will give you the priority for that page.

Yeah ! keyword proximity is nothing but  the combination of the density of a keyword and the prominence. So proximity looks at the location of the keyword in the sentence and how often it's being used in that sentence and also takes into account the distance between them.
